Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to all deliveries from e-bike-technologies to consumers. We expressly do not recognise any deviating or supplementary provisions or GTC. This applies both to the use of our service and to any purchase contracts between you and us. Business customers (entrepreneurs) are requested to contact us prior to concluding a contract in order to agree on separate terms and conditions (see § 9 B2B Customers). Customers who do not register accordingly as business customers will always be treated as private customers. The sale of our products to private customers is for private use only.

A consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed in nature.

All contracts and/or agreements concluded with our customers must be made in writing. We reserve the right to accept contracts at all times. Amendments and/or additions are only binding if confirmed by us in writing.

The maximum value of an order must not exceed:

  • € 50.00 for letter mail (Warenpost), and
  • € 500.00 for parcel delivery.

2. Contracting Party

The usage relationship as well as all purchase contracts are concluded between you and us, e-bike-technologies, Albertstraße 5, 42555 Velbert, legally represented by Calogero Fontana.

The exclusive language of contract is German. Subject to mandatory overriding provisions of foreign law, German law shall apply exclusively, excluding the provisions of the UN Convention on Contracts for the International Sale of Goods (CISG).

Should individual provisions of these terms and conditions, in whole or in part, violate mandatory law or be void or ineffective for other reasons, the validity of the remaining provisions of the contract and these terms and conditions shall remain unaffected.

3. Registration

To use our services, you must have full legal capacity and register on our website. Registration is free of charge.

To register, please complete the online registration form for account opening fully and truthfully. If your details change, you are responsible for updating them yourself. All changes can be made online after logging in under "My Account". To prevent misuse, you are obliged to keep your registration details confidential and not disclose them to third parties. Each customer may open one customer account.

4. Contract and Process

The presentation of products in our online shop does not constitute a legally binding offer, but merely a non-binding online catalogue. By selecting one or more products on our website, adding them to your virtual shopping cart, completing the order process and finally clicking the correspondingly labelled "Buy" button, you submit a binding order (purchase offer) for the products contained in your shopping cart. Please note that products in the virtual shopping cart do not constitute a reservation.

Before submitting your order by clicking the "Buy" button, you will receive a summary of the products you have selected as well as the total price payable including applicable VAT, shipping and additional costs. Before submitting an order, you have the opportunity to review it again and, if necessary, correct or delete it by clicking the correspondingly labelled buttons.

After you submit your order, we will confirm receipt of your order by email containing the contents of your order and all contractual information. This email (order confirmation) already constitutes our acceptance of your offer. If you have chosen the payment methods advance payment, PayPal, credit card or instant bank transfer, we will process your order immediately upon receipt of full payment. We will dispatch the ordered goods to the address you provided. We will inform you of the dispatch of the ordered goods by means of a shipping confirmation email.

All goods remain our property until payment has been made in full.

If the customer is in default of payment obligations towards us, all existing claims become immediately due and payable.

5. Subject Matter and Condition of Goods

The subject matter of the contract are the products specified by you in the course of ordering (placed in the shopping cart and subsequently ordered) and listed in the order and order confirmation at the final prices stated therein.

The goods we offer are new original products, unless the respective product description in the product catalogue expressly states otherwise.

The images on our website and in our catalogue may not accurately represent the products offered; in particular, colours may differ significantly for technical reasons. Details such as drawings, illustrations, technical data, weight, dimensions and performance descriptions are approximate values.

6. Prices and Payment Terms

All prices listed in our product catalogue are final prices in euros and are exclusive of shipping costs unless expressly stated otherwise. With the shipping confirmation, the customer will receive a link to their invoice showing VAT.

Payment can generally be made using the following payment methods:

  • Bank transfer (advance payment)
  • Instant bank transfer (Sofortüberweisung)
  • Credit card
  • PayPal

If you select advance payment, we will provide our bank details in the order confirmation and on the completion page once the order has been placed. The invoice amount must be received in our account within 7 days.

For credit card payments, the invoice amount will be charged immediately upon conclusion of the contract. Processing may be carried out via the payment provider PayPal. In this case, registration with PayPal is not mandatory.

If you select PayPal as your payment method, the invoice amount will be paid via the online payment provider PayPal. You will be redirected to the PayPal website (www.paypal.com). You must be registered with PayPal or register for the first time if necessary, then log in with your PayPal credentials and confirm the payment instruction. The payment agreement between you and PayPal is governed by the "PayPal Terms of Use" available at www.paypal.com in their respective current version.

7. Delivery and Shipping Costs

As soon as the ordered goods are available, we will dispatch them without delay to the address you provided during the order (for the payment methods advance payment, PayPal, credit card or instant bank transfer: without delay upon receipt of payment), unless otherwise agreed with you. If delivery is made by a freight company, you will be contacted by telephone prior to delivery to arrange a mutually convenient delivery time.

Delivery time depends on the transit time of the commissioned shipping company and is 1–5 working days from receipt of payment, unless otherwise stated in the offer.

Should delivery to you not be possible because the delivered goods do not fit through your front door, entrance door or staircase, or because you cannot be found at the delivery address you provided, you shall bear the costs of the unsuccessful delivery attempt. Should delivery of the goods fail through your own fault despite two delivery attempts, we hereby declare withdrawal from the contract. Any payments made by you will be refunded immediately, less any shipping costs incurred.

The shipping costs valid at the time of the order apply. You will be informed of these before completing the order in the shopping cart or order summary, and independently of any order under the menu item "Shipping and Payment Terms".

If you make purchases in the course of your commercial or self-employed professional activity (business customer), the risk of transport – i.e. the risk of accidental damage, deterioration or destruction of the ordered goods in transit – passes to you as soon as we hand over the goods to the commissioned transport company. If you make a purchase for a purpose that is neither commercial nor related to your self-employed professional activity (consumer), we bear the transport risk until the goods are handed over to you by the carrier.

9. B2B Customers (Entrepreneurs)

Business customers (entrepreneurs within the meaning of § 14 BGB) may register as a business customer via our B2B registration form. Following successful review and activation by us, the following additional provisions apply to B2B customers:

  • Right of withdrawal: Entrepreneurs do not have a statutory right of withdrawal. Claims for defects are governed by the statutory provisions of the German Commercial Code (HGB).
  • Warranty: The warranty period for entrepreneurs is, in deviation from § 438 para. 1 no. 3 BGB, one year from the transfer of risk. The limitation periods for recourse claims under § 445b BGB remain unaffected.
  • Invoicing: B2B customers will receive invoices with VAT shown separately. EU companies with a valid VAT identification number may apply the reverse charge procedure; this requires prior validation and coordination with us.
  • Payment terms: Unless otherwise agreed, invoices are due immediately. In the event of late payment, we are entitled to charge interest on arrears at a rate of 9 percentage points above the base rate (§ 288 para. 2 BGB).
  • Retention of title: The delivered goods remain our property until full payment of all outstanding claims arising from the business relationship.

For all further matters not expressly regulated herein, the remaining provisions of these GTC and German law shall apply.
